Governance: Public While Private
At Imperial Capital we believe that our private portfolio companies should strive to operate like public companies. Our approach to governance is important from the perspective of transparency to our Investors and other stakeholders. The discipline instilled by this rigorous process makes for better companies, and management decision-making that is well adapted to the scrutiny of the capital markets.
Boards of Directors
Next to a strong CEO and management team, an industry-experienced, independent Board of Directors is critical to the success of our portfolio companies. We work collaboratively with Business Owners and Management Teams to assemble a value-adding Board of Directors. We identify and qualify candidates with direct senior executive experience in the industry of the portfolio company. We have found that past directors have made significant contributions to the portfolio companies we acquire.
Financial Reporting
Our portfolio companies implement external financial reporting and disclosure similar to those found at publicly-traded companies (absent securities related filings). This discipline serves our portfolio companies well as they grow, and eases the transition to becoming a reporting issuer in certain circumstances. It is critical that the internal financial reporting is linked with, and provides updates on, the company’s progress towards achieving its prioritized strategic projects and initiatives emanating from its strategic plan and budgets.
